Annotation Box – Terms of Use

These Terms of Use (“Terms”) govern your use of and access to the AnnotationBox website, platform, and data annotation services (collectively, the “Services”). These Terms form and govern a binding legal agreement between you as an individual or the entity you represent (“Client”) and AnnotationBox (“Annotation Box,” “we,” “us,” or “our”).

By creating an account, submitting data, or otherwise using our Data Annotation Services, you signify your agreement to be bound by these Terms. We advise you not to use our services or access our website if you disagree with these Terms.

Annotation Box provides high-quality data annotation and labeling services to train artificial intelligence and machine learning models. Our services include, but are not limited to, polygon annotation, semantic segmentation, bounding box annotation, text and audio annotation, and content moderation, as described on our website.

We are committed to providing accurate results, leveraging our skilled human-in-the-loop workforce. While we strive to meet and exceed our stated accuracy goals (e.g., 95% or higher), this is a target, not a legally guaranteed warranty, for every work product.

To access most Services, you must register with us. You agree to:

• Provide accurate, current, and complete information during the sign-up process.
• Notify AnnotationBox immediately of any unauthorized use of your account.
• Be fully responsible for all activities and decisions that occur under your account.

• Ownership of Client Data: You retain all right, title, and interest in and to the data, text, images, audio, video, or other materials you submit to the Services for annotation (“Client Data”).
• License to AnnotationBox: You grant AnnotationBox a limited, non-exclusive, royalty-free worldwide license to reproduce, use, modify, and process the Client Data solely to provide the contracted annotation Services.
• Ownership of Annotated Data: Upon your complete payment for the Services, AnnotationBox grants you full ownership rights to the final annotated, labeled, or modified data (“Annotated Data”). AnnotationBox retains no rights to use or distribute the Annotated Data, except as required by law or with your express written permission.

AnnotationBox is committed to protecting the security and confidentiality of your data.

• Security Measures: We implement and maintain robust administrative, technical, and physical measures to protect Client Data and information from unauthorized access, use, or disclosure. We are proud to be GDPR compliant and SOC 2 Type 1 certified.
• Confidentiality & Privacy: Both parties agree to treat all non-public information and data received from the other party as confidential. This includes Client Data and the specifics of your projects. We will not disclose your confidential information to any third party, except as necessary to provide the Services or as required by law. Strict confidentiality agreements bind our workforce.

You agree that you will not submit any Client Data that:

• You do not have the legal right to possess, nor can you grant us a license to use.
• Infringes on any third party’s intellectual property rights, privacy rights, or other legal rights.
• Contains viruses, any other malicious code, or malware.
• Is illegal, hateful, or violates any applicable laws or regulations.

You are solely responsible for the content and legality of your Client Data.

• You agree to pay all fees and dues associated with your use of the Services as outlined in a separate service agreement, project quote, or as displayed on our platform.
• All payments are due by the agreed-upon payment terms. Late payments may result in the suspension of all or part of the Services or interest charges as permitted by law.

• Termination by You: You may terminate your account and use of the Services at any time by providing written notice to AnnotationBox, subject to the completion of any active project agreements and payment of all outstanding fees.
• Termination by AnnotationBox: We reserve the right to suspend or terminate your use or access to the Services at any time, including for any breach of these Terms, with or without cause. Upon termination, your right to use the Services will be immediately ceased.

THE SERVICES ARE PROVIDED AND OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ANNOTATIONBOX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, STATUTORY, OR OTHERWISE. THIS ALSO INCLUDES, BUT IS NOT LIMITED TO, THE FITNESS FOR A PARTICULAR PURPOSE, IMPLIED WARRANTIES OF MERCHANTABILITY, AND NON-INFRINGEMENT.

IN NO EVENT SHALL ANNOTATIONBOX, ITS AFFILIATES, OR ITS EMPLOYEES BE LIABLE FOR ANY INDIRECT, DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IT ALSO INCLUDES ANY LOSS OF REVENUES OR PROFITS OR ANY LOSS OF GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, TO THE FULLEST EXTENT PERMITTED BY LAW, RESULTING FROM YOUR USE OF OUR SERVICES.

These Terms of Use shall be governed by and construed by the laws of the United States, without regard to its conflict of law principles. Any legal action, suit, or court proceeding arising out of these Terms shall be instituted in the federal or state courts located in Delaware.

AnnotationBox reserves the right to modify these Terms at any time. We will notify of any significant changes or modifications by posting the revised Terms here and updating the “Last Updated” date accordingly. Your continued use of our Services after such changes constitutes your automatic acceptance of the new Terms.
